1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and Shastia, LLC, doing business as Breaker1 ("Breaker1," "we," "us," or "our"). By accessing or using our websites, applications, browser extension, integrations, and related scheduling services (the "Service"), you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind it.

2. The Service

Breaker1 provides public booking links, availability comparison, calendar event creation and management, multi-calendar sync, guest rescheduling and cancellation, group and team scheduling, routing and approvals, video-meeting links, notifications, mailbox scheduling agents, a browser extension, and interfaces that allow outside assistants to request scheduling actions. Features and provider support may change.

A "Host" is an account holder offering times. A "Guest" is a person participating in a scheduling flow. A team owner or administrator configures team resources and represents that they may invite and manage team members. A user who connects a mailbox, API key, or outside assistant is responsible for that connection and its selected permissions.

3. Accounts and Security

You must provide accurate, current information and protect account credentials, connected-provider accounts, API keys, and signed approval or booking-management links. Public and signed links may be usable by anyone who receives them; share them carefully. You are responsible for activity authorized through your account and must promptly report suspected unauthorized use.

4. Your Authorizations and Responsibilities

By connecting Google, Microsoft, Zoom, a mailbox, a calendar, or another service, you authorize Breaker1 to access and act on that service within the permissions and settings you select. This may include reading free/busy status; creating, updating, or deleting booking events; copying existing events among selected calendars; creating meeting links; reading scheduling emails; creating drafts; sending Gmail replies when enabled; and booking, rescheduling, or cancelling meetings.

You are responsible for obtaining any notices, permissions, and consents required from guests, team members, employees, mailbox correspondents, or other people whose information you submit or make accessible. Team owners are responsible for lawful team configuration and member administration. You must not connect an account or calendar you are not authorized to use.

5. AI and Automated Actions

Breaker1 uses automated systems and AI to identify scheduling requests, interpret proposed times, prepare or send responses, and carry out permitted calendar actions. You choose available autonomy, approval, recipient, domain, and safety settings. Host settings and Breaker1 safety controls take priority over instructions from guests or outside agents.

AI and automation can misunderstand messages, people, dates, time zones, intent, or context. Guardrails reduce but do not eliminate that risk. You are responsible for selecting appropriate settings, reviewing drafts or approval requests when needed, monitoring activity, pausing automation when appropriate, and verifying sensitive, high-impact, or unusual communications. Do not rely on the Service for legal, medical, employment, financial, emergency, or other professional decisions.

6. Outside Assistants, MCP, and APIs

If you create an API key or connect an outside assistant such as ChatGPT or Claude, you authorize requests made with that credential within its assigned scope. Those requests remain subject to host availability, rules, approvals, and safety limits. Keep credentials confidential, use the narrowest suitable permissions, and revoke credentials that are exposed or no longer needed. You are responsible for the outside service you choose and for instructions you give it.

7. Subscriptions and Billing

Calendar, booking, team, group, and other non-agent features are available on the Free plan. Pro provides agent features for $9.99 per month or $99 per year, unless a different price is shown before purchase. Taxes may apply. Square processes payment information and subscription charges.

Eligible new subscriptions receive one 14-day introductory trial when the checkout page offers it. Unless cancelled before the trial ends, the selected subscription automatically begins and the payment method is charged. Existing paying customers who switch between monthly and yearly billing do not receive another trial.

Paid subscriptions renew automatically for the selected period until cancelled. You may switch billing cycles, update payment details, or cancel in Account Settings. Cancellation takes effect at the end of the current paid period, and access continues until then. Fees already charged are handled as required by applicable law and any terms shown at purchase. Failure to pay may result in loss of paid features.

A valid VIP redemption may provide Pro features without charge and without a stated expiration, subject to these Terms and our right to address fraud or misuse.

8. Communications

You agree to receive transactional communications needed to operate the Service, such as verification, security, booking, approval, team invitation, agent-action, billing, and support messages. If you enable SMS alerts, message and data rates may apply. You can disable optional alerts in the Service, but essential account and transaction notices may still be sent.

9. Third-Party Services

The Service relies on third parties such as Google, Microsoft, Square, Zoom, AI processing, infrastructure, and email or SMS delivery providers. Their services, availability, security, and terms are outside our control. Your use of a third-party account is also governed by that provider's terms and privacy policy.

Breaker1's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

10. Acceptable Use

You may not use the Service to:

Send spam, deceptive invitations, harassment, malware, or unlawful communications.
Impersonate another person, misrepresent authority, or connect accounts you do not control.
Scrape, harvest, or misuse personal data, or process sensitive data without a lawful basis and required consent.
Expose, sell, or share API keys or signed action links in a way that permits unauthorized use.
Bypass recipient safeguards, host rules, approvals, rate limits, access controls, or provider restrictions.
Reverse engineer, disrupt, overload, probe, or gain unauthorized access to the Service or another user's data.
Use the Service in violation of law, third-party rights, or a connected provider's terms.

11. Your Content and Intellectual Property

You retain ownership of information and content you submit. You grant Breaker1 a limited, worldwide, non-exclusive license to host, process, copy, transmit, and display that content only as reasonably necessary to operate, secure, and improve the Service. You represent that you have the rights needed to provide it. Breaker1's software, branding, documentation, and technology remain our property or that of our licensors.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information, including calendar, mailbox, AI, team, payment, and outside-agent data.

13. Availability and Changes

We may add, change, suspend, or discontinue features and integrations. Provider outages, expired permissions, account limits, maintenance, or internet conditions may delay or prevent messages, synchronization, availability checks, or bookings. You remain responsible for checking important calendar events and communications.

14. Suspension, Termination, and Deletion

You may disconnect integrations or delete your account in Account Settings. Account deletion removes associated account data subject to limited retention described in the Privacy Policy; content already delivered to other people or copied to external calendars may remain with those recipients or providers. Deleting an account does not automatically reverse completed charges or actions already taken.

We may restrict, suspend, or terminate access for material or repeated violations, fraud, security risk, nonpayment, unlawful conduct, or conduct that harms the Service or others. Where reasonable, we may provide notice and an opportunity to remedy the issue.

15. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not guarantee that AI output, provider data, calendar synchronization, messages, meeting links, or suggested times will be accurate, complete, timely, or error-free. Nothing in these Terms limits warranties or rights that cannot lawfully be excluded.

16. Limitation of Liability

To the fullest extent permitted by law, Breaker1 and Shastia, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, opportunities, or business interruption arising from the Service. These limits apply only to the extent permitted by law and do not limit rights or remedies that cannot lawfully be excluded.

17. Changes to These Terms

We may update these Terms as the Service changes. We will post the revised date and, for material changes, provide notice by email or through the Service when appropriate. Continued use after the effective date means you accept the revised Terms.
